Public Offer Agreement

1. General provisions

1.1. This offer is the official proposal of www.uridt.com, hereinafter referred to as the “Seller”, to enter into a distance sales agreement through the online store. The public offer is published on the Seller’s official website at https://www.uridt.com/shop/.

1.2. The Buyer’s full and unconditional acceptance of the Seller’s proposal to enter into an electronic sales agreement is the payment for an order under the terms, within the time limits and at the prices specified on the Seller’s website.

2. Terms and definitions

2.1. Unless otherwise agreed, the following terms have these meanings:

“Goods” means items and related products displayed on https://www.uridt.com/shop.

“Online Store” means an instrument for offering or selling goods, works or services by electronic transactions in accordance with the Law of Ukraine “On Electronic Commerce”.

“Seller” means the company selling goods presented on www.uridt.com.

“Buyer” means an individual who has entered into this Agreement with the Seller.

“Order” means the Buyer’s selection of individual items from the list of Goods and subsequent payment.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer the Goods into the Buyer’s ownership, and the Buyer undertakes to pay for and accept the Goods. This Agreement governs the voluntary selection of Goods, placement and payment of Orders, and processing and delivery of Orders to the Buyer.

4. Order placement procedure

4.1. The Buyer may order any available Goods listed on the Online Store website.

4.2. Each item may be ordered in a quantity available from the Seller.

4.3. If an item is out of stock, the company manager shall notify the Buyer by telephone or email.

4.4. The Buyer may replace an unavailable item with a similar model, refuse it or cancel the Order.

5. Payment procedure

5.1. Payment is made using Visa, MasterCard or other payment cards by transferring funds to the Seller’s current account through the Online Store. Cash payments in Ukrainian hryvnias are also permitted.

5.2. If payment is not received, the Online Store may cancel the Order.

6. Delivery terms

6.1. Goods purchased from the Online Store are delivered to transport company warehouses for collection or by other methods permitted by Ukrainian law.

6.2. Documents required by Ukrainian law are provided with the Order.

7. Rights and obligations of the parties

7.1. The Seller may unilaterally discontinue services under this Agreement if the Buyer violates its terms.

7.2. The Buyer must pay for and receive the Order in a timely manner under this Agreement.

7.3. The Buyer may place an Order, enter into an agreement with the Online Store electronically and require the Seller to comply with this Agreement.

8. Liability of the parties

8.1. The parties are liable for non-performance or improper performance under this Agreement and applicable Ukrainian law.

8.2. The Seller is not liable for changes to the appearance of Goods made by the manufacturer; minor colour differences caused by display settings; the content of information supplied by manufacturers; delays caused by circumstances beyond the Seller’s control; unlawful actions of the Buyer; or disclosure by the Buyer of network identifiers, login credentials or passwords to third parties.

8.3. The Buyer is independently responsible for damage caused through the Buyer’s use of Internet access.

8.4. In the event of force majeure, the parties are released from performance for the duration of extraordinary and unforeseeable events that objectively prevent performance.

8.5. The parties shall make every effort to resolve disagreements through negotiation.

9. Other terms

9.1. The Online Store may amend this Agreement unilaterally by publishing the revised version on www.uridt.com.

9.2. The Online Store is intended for distance selling via the Internet.

9.3. The Buyer is responsible for the accuracy of information provided when placing an Order. By accepting this Agreement, the Buyer consents to the collection, processing, storage and use of personal data under the Law of Ukraine “On Personal Data Protection”.

9.4. Payment for an Order constitutes the Buyer’s full acceptance of this Public Offer Agreement.

9.5. The date of the electronic transaction is the date of acceptance under Article 11 of the Law of Ukraine “On Electronic Commerce”.

9.6. Browsing Goods and placing Orders through the Online Store are free of charge.

9.7. Information supplied by the Buyer is confidential and is used only to process Orders, send notifications, deliver Goods and settle payments.

10. Return of Goods of proper quality

10.1. Goods are returned to the Online Store in accordance with applicable Ukrainian law.

10.2. The Buyer bears the cost of returning Goods.

10.3. After receiving returned Goods of proper quality, the Online Store refunds the amount paid, less its delivery-related expenses.

11. Term and termination

11.1. The electronic Agreement is concluded when the person who made the offer receives acceptance in accordance with part six of Article 11 of the Law of Ukraine “On Electronic Commerce”.

11.2. Before performance is completed, the Agreement may be terminated by mutual consent before actual delivery, with the funds returned.

11.3. Either party may terminate the Agreement unilaterally if the other party fails to perform its obligations or in other cases provided by Ukrainian law.
